These Terms & Conditions ("Terms") govern all services provided by Vora Collective ("Company," "we," "us," "our") to any client ("Client," "you").

By accessing our website, purchasing services, or submitting payment through Stripe, you agree to these Terms in full. If you do not agree, do not use our services.

1. Services

Vora Collective provides marketing, advertising, automation, and systems-based services, including but not limited to:

• Advertising management
• Website-as-a-Service (WAAS)
• One-time website builds
• AI chatbots and automations
• Creative services
• Consulting and strategy

Specific deliverables, timelines, and pricing will be outlined in a proposal, invoice, or written communication ("Service Scope").

Anything not explicitly listed is not included.

2. Payment Terms

• All payments are processed via Stripe.
• Fees are due in advance unless otherwise stated in writing.
• Ongoing services are billed on a recurring basis and charged automatically.
• All payments are non-refundable once work begins.
• Client is responsible for all third-party costs, including ad spend, software tools, hosting, or platform fees.
• Failure to pay may result in paused services, restricted access, or system shutoff without notice.

By submitting payment through Stripe, Client agrees to be bound by these Terms in full.

3. No Guarantees / No Performance Promises

Vora Collective does not guarantee:

• Revenue
• Profit
• Sales
• Lead volume
• Conversion rates
• Return on investment

Marketing results depend on variables outside our control, including market conditions, platforms, budgets, creatives, and client responsiveness.

Client acknowledges they are paying for execution and systems, not guaranteed outcomes.

4. Website-as-a-Service (WAAS)

For any Website-as-a-Service or systems-based offering:

• All websites, templates, automations, funnels, and systems remain the property of Vora Collective.
• Client is purchasing licensed access, not ownership.
• Access is contingent on active payment.
• Non-payment results in immediate suspension or termination of access.
• Client may not copy, resell, transfer, or reproduce WAAS assets.

5. One-Time Website Builds

For one-time website build projects:

• Ownership transfers only after full payment is received.
• Vora Collective is not responsible for hosting, maintenance, edits, or performance after delivery unless contracted separately.
• Project timelines depend on Client providing assets and approvals on time.
• Client-caused delays do not pause payment obligations.

6. Client Responsibilities

Client agrees to:

• Provide accurate and timely information
• Approve content and requests promptly
• Comply with platform policies and applicable laws
• Maintain required ad budgets where applicable

Vora Collective is not responsible for delays or poor performance caused by Client actions or inaction.

7. Refunds & Cancellations

All payments are non-refundable unless otherwise stated in a written agreement.

Due to the nature of marketing services—including time, strategy, and creative labor—no refunds are issued for completed work or time reserved.

8. Use of Third-Party Platforms

Vora Collective may rely on third-party platforms (e.g., Meta, Google, CRMs, hosting providers). We are not responsible for:

• Platform downtime
• Account suspensions or bans
• Policy enforcement or algorithm changes

9. Limitation of Liability

To the fullest extent permitted by law, Vora Collective shall not be liable for any indirect, incidental, or consequential damages, including lost revenue or profits.

Total liability is limited to the amount paid by the Client in the most recent billing period.

10. Independent Contractor

Vora Collective operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

11. Modifications

We reserve the right to update these Terms at any time. Continued use of our services constitutes acceptance of the current version.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.
